1. Definitions
In these Terms & Conditions, the following terms have the meanings set out below:
- "Company", "We", "Us", "Our" — Tekad Systems Sdn. Bhd., registered in Malaysia with its principal place of business at 36 Persiaran Multimedia, 63100 Cyberjaya, Selangor.
- "Service" — the AI integration consultancy services provided by Tekad Systems, including AI-Enhanced Research Operations, Organisational AI Maturity Assessment, and AI-Powered Customer Segmentation.
- "User", "You", "Your" — any individual or organisation accessing this website or engaging our services.
- "Agreement" — the contract formed when you accept these terms, either by continued use of this website or by entering into a service engagement with us.
- "Content" — all text, data, graphics, and other materials on this website or produced by us in the course of an engagement.
2. Acceptance of Terms
By accessing or using this website, or by signing an engagement proposal, you confirm that you have read, understood, and agreed to these Terms & Conditions. If you do not agree, you should not use this website or engage our services.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement, whether on your own behalf or on behalf of the organisation you represent.
3. Service Description
Tekad Systems provides AI integration consultancy services to organisations in Malaysia and the surrounding region. Our services are professional advisory and implementation services, not software products or licensed platforms.
Specific service scope, deliverables, timelines, and pricing are confirmed in individual engagement proposals. Website content describing services is indicative and does not constitute a binding offer.
We reserve the right to decline or modify engagements where, in our professional judgement, the proposed scope is not in the client's best interest or falls outside our areas of competence.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete information in all communications and forms
- Not use this website for any unlawful purpose or in a manner that could harm our operations or reputation
- Not attempt to gain unauthorised access to any part of this website or its underlying systems
- Not reproduce, distribute, or repurpose our website content without written permission
- Cooperate reasonably with our team during active service engagements
5. Intellectual Property
All content on this website — including text, graphics, logos, and design elements — is the property of Tekad Systems or its licensors and is protected under applicable Malaysian intellectual property law.
Deliverables produced during a service engagement are governed by the intellectual property terms in the relevant engagement agreement. Unless otherwise specified, clients receive a non-exclusive licence to use engagement deliverables for their internal business purposes.
Tekad Systems retains ownership of its methodologies, frameworks, and templates, even where they form part of a client deliverable.
6. Payment Terms
Service fees are denominated in Malaysian Ringgit (MYR) and are as set out in the relevant engagement proposal. Invoices are issued upon milestone completion or at intervals agreed in the proposal. Payment is due within 30 days of invoice date unless otherwise agreed in writing.
We do not offer refunds for work already completed. If an engagement is terminated early by the client, fees are payable for all work completed up to the termination date. Scope changes require written agreement and may affect pricing and timelines.
7. Service-Specific Terms
AI-Enhanced Research Operations: Scope is adapted to your research domain at engagement start. Any access to research data is governed by a separate data access agreement. We do not retain research data beyond the engagement period.
Organisational AI Maturity Assessment: Findings reflect conditions at the time of assessment and represent our professional judgement based on information provided. The advancement plan is advisory in nature and does not constitute a guarantee of outcomes.
AI-Powered Customer Segmentation: The quality and accuracy of segment models depend substantially on the quality and completeness of the data you provide. We are not liable for inaccuracies arising from poor or incomplete input data.
8. Disclaimers
Our services are provided on a professional advisory basis. While we apply care and expertise to every engagement, we make no representation that specific business outcomes will result from our work. AI integration involves organisational and market variables outside our control.
This website is provided on an "as is" basis. We make no warranty as to its accuracy, completeness, or fitness for a particular purpose. We reserve the right to modify or withdraw website content without notice.
9. Limitation of Liability
To the extent permitted by Malaysian law, Tekad Systems' liability for any claim arising from a service engagement is limited to the total fees paid by the client for the relevant engagement. We are not liable for indirect, consequential, or incidental loss, including loss of revenue, data, or business opportunity.
Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.
10. Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination, all outstanding fees for work completed become immediately due. We may terminate this Agreement immediately if the client breaches any material term and fails to remedy the breach within 7 days of written notice.
Sections relating to intellectual property, payment obligations for completed work, limitation of liability, and dispute resolution survive termination.
11. Dispute Resolution
These Terms & Conditions are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes will be submitted to the jurisdiction of the courts of Malaysia.
The parties may also mutually agree to refer disputes to mediation under the auspices of the Asian International Arbitration Centre (AIAC) before proceeding to litigation.
12. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver of our right to do so in the future. These Terms constitute the entire agreement between the parties regarding website use, and supplement (but do not replace) any signed engagement agreement.
13. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page will reflect any changes. Continued use of our website or services after changes are published constitutes acceptance of the revised Terms.
